1. INTRODUCTION: The “Wii Would Like To Play” video contest (the “Contest“) is sponsored by Heavy, Inc. 330 West 38th Street, Suite 1102, New York, NY 10018 (”Sponsor“). The Contest is open to legal residents of the fifty (50) United States and the District of Columbia who are 18 years of age or older at the time of entry. Employees of Sponsor and its respective affiliates, parents, subsidiaries, and advertising and promotion agencies involved with this Contest, and the immediate family members and/or those living in the same household of each are not eligible to participate. Entries will be accepted from January 22, 2007 at 3:00:01 PM (ET) through February 28, 2007 at 2:59:59 PM (ET) (the “Entry Period“). The Finalist Competition (as described in Rule #4 below) is from March 8, 2007 at 3:00:01 PM (ET) and ends on March 18, 2007 at 11:59:59 PM (ET) (”Voting Period“).

2. PURPOSE OF CONTEST: The purpose of this Contest is for the entrant to submit a video of themselves interacting with their friend(s) and a Wii Console. A video may consist of as few as one (1) participant and a maximum of twenty (20) participants. A Wii Console must be featured in the video. Each video will be represented by one representative. This representative will be the contact person for all matters relating to this contest. Furthermore, any prize won will be awarded in the name of the video representative. Sponsor accepts no responsibility for splitting any prize won or settling any disputes among participants in respect to the Contest. The representative of the video must have signed permission by all other participants of the video to participate in the Contest. HOW TO ENTER: Method 1: Visit www.Heavy.com (the “Website“) and follow all entry instructions to complete and submit the online entry form and how to upload your video (”Entry“) for the Contest during the Entry Period. An entrant will be asked to visit the Wii Custom Channel and click on the link “Register & Upload Video” where you will be required to create a MyHeavy Profile. Once you have created your profile, you must upload the video to your profile and also click the check box indicating you want it to be entered into the Wii Would Like To Play Contest. Your video will then be entered into the Contest. Normal Internet access and usage charges imposed by your on-line service provider will apply. The Website’s database clock will be the official time keeper of this Contest. Method 2: Send your Entry along with your name, address, phone number, email address, age and video title to: Heavy, c/o Quay, 330 West 38th Street, Suite 1102, New York, NY 10018. All videos, whether submitted online or mail must be no longer than three (3) minutes and must be in miniDV, BETA SP or MP4 format. All mail-in Entries must be received by the end of the Entry Period. No substitutions or new versions of Entries will be accepted under any circumstances once the original Entry is submitted for consideration. The Sponsor is not responsible for late, lost, damaged, misdirected or postage due mail/Entries. All Entries become Sponsor’s property and will not be returned or acknowledged. For purposes of these Official Rules (”Rules“), all times are Eastern Time. It is your sole responsibility to notify the Sponsor in writing if you change your e-mail address or mailing address (”Address“). Sponsor reserves the right to determine in its sole discretion which Entries have satisfied the entry requirements. Sponsor will not notify contestants whether or not their Entry has been rejected or accepted. Contestants are advised to retain a copy of their Entry for their records because the Entry that is submitted will not be acknowledged or returned.

At the end of the Entry Period, all Entries will be reviewed by Sponsor to select five (5) finalists (”Finalists“) based on the following criteria: creativity, originality, and level of comedic value (PLEASE CONFIRM JUDGING CRIETRIA). All decisions of the Sponsor are final and binding.

3. FINALIST COMPETITION: Five (5) Finalist Entries will be announced on the “Wii Would Like To Play video contest” channel on Heavy.com on March 8, 2007. Prior to being declared a Finalist, all participants must sign and return an entrant release. The video representative is responsible for gathering and submitting the releases. A video will not be declared a Finalist until all of these forms have been received by the Sponsor. In the event that these forms are not received in the time required, Sponsor reserves the right to disqualify the selected video from the competition and name an alternate video as a finalist. All submissions will be pre-screened by representatives of Sponsor who will determine if the submission complies with the requirements/restrictions in Rule #5 below. Beginning 3:00:01 PM (ET) on March 8, 2007 and continuing through the end of the Voting Period, the Finalist Entries will be posted for public viewing on the “Wii Would Like To Play video contest” channel. The video that receives the most video streams during the Voting Period, as tracked by Heavy.com, will be deemed the Grand Prize winner. For purposes of this Contest, a video stream is one full view (i.e., from start to finish) of an Entry by a member of the general public using Heavy’s stream serving technology. The Grand Prize Winner will be announced on Wii Would Like To Play video contest channel on Heavy.com on March 21, 2007.

4.ENTRY REQUIREMENTS/CLEARANCES: Each Entry must be the original work of the entrant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the video contains any material or elements that are not owned by the entrant and/or are subject to the rights of third parties, the entrant is responsible for obtaining, prior to submission of the video, any and all releases and consents necessary to permit the use and exhibition of the video by Sponsor in the manner set forth in these Official Rules, including, without limitation, name and likeness releases for any person who appears in or is identifiable in the video (collectively, the “Clearances“). By submitting a video, entrant warrants and represents that she consents to the submission and use of the video in the Contest, and to its posting on the Internet in connection with the Contest. The video must not, in the sole and unfettered judgment of the Sponsor, contain any sexually explicit, disparaging, libelous or other inappropriate content or nudity. In the event any submission contains any material or suggests any material that, in the sole and unfettered judgment of the Sponsor, is sexually explicit, disparaging, libelous, abusive language or other inappropriate content or nudity, the Sponsor will immediately disqualify the entrant.

5. RIGHT TO DISQUALIFY: The Sponsor reserves the right, in its sole and unfettered discretion, to disqualify and remove at any time during the Contest any video that potentially or actually infringes any third party’s copyright(s). Sponsor reserves the right, in its sole and unfettered discretion, to disqualify and remove any video that it believes contains any sexually explicit, disparaging libelous or inappropriate content, is not suitable for publication, infringes the rights of any third party or otherwise does not meet any other requirements in these Official Rules. Sponsor further reserves the right, in its sole and unfettered discretion, to verify at any time during the Contest that all necessary Clearances have been obtained and to disqualify and remove any video if it believes that the necessary Clearances have not been obtained.

6. PRIZES AND APPROXIMATE RETAIL VALUES (”ARV”): One (1) Grand Prize will be awarded to the Finalist whose video receives the most views throughout the entire Voting Period: One (1) Grand Prize winner will have their video run as a pre-roll commercial on myHeavy.com from March 21, 2007 to March 27, 2007, and will receive $2,000 USD (awarded in the form of a check made out to the Grand Prize winner), one (1) Wii Remote Controller, one (1) Nunchuk Controller, (2) Classic Controllers, one (1) component cable for the Wii Console, one (1) Wii Points card loaded with 5,000 points, one (1) Wii Console carrying case and five (5) Wii Console video games (Approximate Retail Value (”ARV”): $xxxx.xx) Five (5) Finalist Prizes will be awarded at the conclusion of the Promotion Period to five (5) Finalists who are selected by the Sponsor. Five (5) Finalist Prizes: Each of the five (5) finalist will receive $250 USD (awarded in the form of a check) (”ARV”: $250 ea.). Total “ARV” of all prizes: $3,750. All video game prizes will be determined by Sponsor in its sole discretion. Prizes consist of only those items specifically listed as part of the prize. No substitution or transfer of prize permitted except that Sponsor reserves the right to substitute a prize of equal or greater value in the event that an offered prize is unavailable. All federal, state and local taxes on prizes are the sole responsibility of the prize winners.

7. GENERAL RULES: The Contest is governed by and subject to the laws of the United States. All federal, state, and local laws and regulations apply. Void where prohibited by law. All Finalists will be notified by mail or telephone at the contact information provided at the Registration Site and must sign and return any applicable documentation deemed necessary by Sponsor, including all required Clearances, an Affidavit of Eligibility and Liability/Publicity Release, within seven (7) days following attempted notification. Failure to comply with these requirements within the specified time period will result in disqualification and an alternate winner will be selected. By entering the Promotion, entrants release Sponsor, Nintendo of America Inc., participating prize providers, and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the “Promotion Entities” harmless against any and all claims and liability arising out of participation in the Contest or any Contest-related activity, including from winner’s use or misuse of a prize. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participation in this Contest or use/redemption of any prize. Entrant agrees to be bound by these Official Rules and the decisions of the judges which are final and binding on all matters relating to this Contest. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest or in the announcement of the prizes. Sponsor is not responsible for any electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, then, subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Contest. SPONSOR RESERVES THE RIGHT IN ITS SOLE AND UNFETTERED DISCRETION TO DISQUALIFY ANY PERSON WHO TAMPERS OR IS SUSPECTED OF TAMPERING WITH THE ENTRY AND/OR VOTING PROCESS. SPONSOR RESERVES THE RIGHT IN ITS SOLE AND UNFETTERED DISCRETION TO DISQUALIFY ALL VOTES FROM VOTERS THAT ARE DEEMED TO BE FRAUDULENT. 8. GRANT OF RIGHTS: Each entrant into the Contest irrevocably assigns and transfers all rights, title and interest in the Entry to Sponsor, including, without limitation, all copyrights, and all rights incidental, subsidiary, ancillary or allied thereto (including, without limitation, all derivative rights) in and to the Entry for exploitation throughout the universe, in perpetuity, by means of any and all media and devices whether now known or hereafter devised. Each entrant gives Sponsor the right to publish, use, adapt, edit and/or modify his/her Entry in any way, in any and all media and without consideration to entrant or other identifiable persons depicted in the video, for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have herein. By entering Contest and/or accepting prize, entrant irrevocably grants permission to the Promotion Entities and their agencies to use entrant’s name, likeness, biographical information and Entry, in any and all media for any purpose, including without limitation, for purposes of advertising, publicity and promotional purposes as well as in, on or in connection with the Registration Site or the Contest, without further compensation to entrant, unless prohibited by law.

9. NO OBLIGATION TO USE: Sponsor shall have no obligation (express or implied) to use any Submission, or to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and Sponsor may at any time abandon the use of the any Submission for any reason, with or without legal justification or excuse, and entrants shall not be entitled to any damages or other relief by reason thereof.

10. DATES & DEADLINES/ANTICIPATED NUMBER OF CONTESTANTS: Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest. Sponsor cannot accurately predict the number of entrants who will participate in the Contest.

11. WINNERS’ LIST: For a list of winners, send a stamped, self-addressed envelope, to be received by March 25, 2007, to: Nintendo Wii Winners’ List, PO Box 5007, Ellenton, FL 34222-5000.

12. PRIVACY POLICY: By entering you may be contacted by the Sponsor with future promotional offers and will be enrolled in future Contests, Games and Sweepstakes the Sponsor may conduct unless you specifically ask not to be enrolled. Information provided by you to participate in this Contest is subject to Sponsor’s privacy policy.
